Corporate Governance & Accountability
ScanBox Limited operates as an information management and data governance consultancy serving organizations in Jamaica and the wider Caribbean. Because our work involves structured information control, regulatory alignment, digitization integrity, and enterprise content governance, we hold ourselves to clear standards of accountability, documentation discipline, and ethical conduct. Governance is not an abstract principle within our organization; it is embedded in how we design solutions, structure engagements, and manage operational risk.
Our governance philosophy is grounded in transparency, contractual clarity, and professional responsibility. Every formal client engagement is governed by written agreements that define scope, roles, confidentiality obligations, and service boundaries. This ensures that expectations are clearly documented and that responsibilities are properly allocated between ScanBox and its clients.
We maintain structured internal processes for project oversight, access control, quality assurance, and issue escalation to support consistency and operational discipline.
As a firm specializing in information governance and data protection advisory services, ScanBox recognizes the importance of role clarity in data handling. Depending on the engagement, we may act as a Data Controller or Data Processor, and we align our practices accordingly. Internal safeguards are applied to limit access to information on a need-to-know basis, and operational procedures are designed to support confidentiality, auditability, and accountability. Governance is reinforced through documented processes and oversight mechanisms rather than informal practice.
Risk management is an inherent component of our operational model. We operate in regulated and compliance-sensitive environments, and commercial engagements occasionally involve complex technical and contractual considerations. In circumstances where disputes arise, ScanBox addresses such matters through formal legal and procedural channels consistent with recognized judicial processes. We respect the authority of the courts and adhere to established procedural frameworks when resolving commercial disagreements.
Since October 2020, ScanBox Limited has been involved in judicial proceedings arising from commercial engagements. Certain procedural rulings relating to a dispute between ScanBox Limited and West Indies Petroleum Limited are a matter of public record in the Supreme Court and Court of Appeal of Jamaica, including references to Claim No. SU2021CD00281 and related appellate proceedings identified as [2022] JMCA App 28 / 28A. These published decisions primarily address procedural applications, including matters concerning costs and preservation orders. The publicly available rulings do not constitute a final determination of substantive liability. In keeping with governance best practices, ScanBox does not comment on judicial matters beyond what is reflected in official court records.

Our approach to governance extends beyond dispute management. We continuously refine internal controls, project governance frameworks, and documentation standards to ensure resilience and professional maturity. Lessons derived from operational experience are integrated into improved engagement structures, clearer scope definitions, and strengthened oversight practices. We view governance as an evolving discipline that supports both client trust and organizational sustainability.
ScanBox is committed to conducting business with integrity, professionalism, and transparency. We do not make representations beyond our contractual obligations, and we encourage structured engagement processes to ensure clarity in service delivery. We recognize that credibility in the field of information governance requires consistency between stated principles and operational behavior. Accordingly, we maintain documented procedures and oversight structures designed to uphold accountability across all engagements.
This Corporate Governance & Accountability statement reflects our ongoing commitment to structured operations, ethical conduct, and responsible participation in Jamaica’s commercial and judicial framework. Governance for ScanBox is not a marketing posture; it is a foundational operating principle.
